CONSTITUTION
PREAMBLE: We the members of the Tacoma Trail Cruisers, Inc. in order to promote the use of trail cycles as a sport, to further the conservation of forests, fish and wildlife of the State through the use of trail cycles, to render assistance in the field of those in need, and to foster good fellowship among sportsmen, do establish this Constitution and Bylaws for the Tacoma Trail Cruisers, Inc. club of Tacoma, Washington.
Article I. Name and Purpose
Sect. A: This club shall be known as the Tacoma Trail Cruisers.
Sect. B: The purpose of this organization shall be to promote the use of trail cycles, to foster good fellowship among sportsmen and to influence the proper protection of wildlife and forest conservation.
Article II. Membership and Duties
Sect. A: Type of Membership
Membership in the Tacoma Trail Cruisers will be a family membership. This will include the head of a household and, if applicable, spouse, and dependent children.
A current member in good standing can propose only one individual or family for membership at any given time. At which time, the proposed member is voted on or declines to become a TTC member, the member will then be eligible to propose another individual or family for membership.
DEFINITION OF A DEPENDENT: One who is financially supported by his or her parents or guardian and lives in their household or is a full time student to a maximum age of twenty-one (21).
Sect. B: Qualifications for Membership
Prospective members must be sponsored by a member in good standing. They must be at least 21 years of age and a resident of Pierce County. (See paragraph regarding memberships outside of Pierce County at the end of this section.) They must be of good moral character. They must read and agree to uphold the constitution and objective of the Tacoma Trail Cruisers. They must attend a minimum of two (2) regular meetings, two (2) club rides on their own ATV or motorcycle, two (2) social events and two (2) work parties. Attendance will be recorded on a “Proposed Member Requirement Record” card and signed by the appropriate club member (see card). Upon completion, the card is presented to the president for review. Interim members not able to fulfill any one of the required functions may request a waiver for justifiable absence with the Board of Directors. Proposed members will take one year to fulfill obligations and not become members until one year is passed.
MEMBERSHIPS OUTSIDE PIERCE COUNTY:
A member of the Tacoma Trail Cruisers in good standing may, on a one time basis, propose for full membership anyone outside Pierce County. New members would have all voting and other privileges of members in Pierce County. One restriction would be that this member could not propose anyone outside of Pierce County at any time, but could bring Pierce County residents into the club. The number of non-Pierce County members will not exceed 10% of the membership. If a member joins the Tacoma Trail Cruisers in Pierce County and moves out of the county, his is still considered and counted as a Pierce County member.
Sect. C: Election to Membership
1) Qualified prospective members shall be presented to the club membership at a regular meeting by the President, for the purpose of becoming an interim member.
2) Prospective members will then be accepted into an interim membership period of one (1) year. During this period, interim members are encouraged to attend as many club functions as possible. This period of interim membership is established so interim and permanent members can get to know one another and decide if fellowship is desirable and for the best interest of all concerned.
3) Upon completion of this interim membership period, the prospective member is voted for permanent membership, if so desired.
4) Persons having completed interim membership period will be required to present themselves before the club for voting into permanent membership within ninety (90) days of the end of their interim membership period or be dropped from consideration for membership.
5) All voting will be by secret ballot. Club officers will count the votes. A two-thirds (2/3) majority “YEA” vote shall be required for acceptance.
6) Prospective members will be advised of the voting results prior to the next meeting. At that meeting accepted new members will be sworn in by the President.
7) Any proposals to limit or restrict the number of members allowed in the club, shall exclude the Life Members from the total amount allowed for membership
Sect. D: Membership in Good Standing
All members must complete one (1) work party, one (1) club ride, one (1) general meeting and one (1) social event each year. Lifetime members are excluded.
Article III. OFFICERS
Sect. A: Titles
1) The officers of TTC shall be a President, Vice President, Secretary Treasurer and three (3) Trustees. These officers shall constitute the Board of Directors.
2) The term of office for officers is as follows:
President and Treasurer will be voted in to serve a two year term, beginning in an odd year.
Vice President and Secretary will be voted in to serve a two year term, beginning in an even year.
Trustees will be voted in as needed .
3) All officers shall serve for the term of their office unless removed for incompetence, dishonesty, neglect of duty or violation of the Constitution.
Sect. B: Election and Tenure
1) The President, Vice President, Secretary and Treasurer shall be nominated from the floor in October and November, elected by ballot at the regular meeting in December.
2) One Trustee shall be elected at the business meeting in June, one Trustee shall be elected at the business meeting in October and one Trustee shall be elected at the business meeting in February of each year.
3) A majority vote shall be necessary to elect an officer. When there is only one nomination for an office, he/she may be elected by voice vote.
4) All officers shall take office immediately at the close of the session in which they were elected.
5) The outgoing President shall become an additional Trustee with voting privileges for the next twelve (12) month period.
Sect. C: Eligibility
Any member of the club shall be eligible for election to any office provided that he:
a) Is in good standing (dues and assessments paid by October 30).
b) Has been a club member since October of the current year.
c) Is twenty-one (21) years of age or older
Sect. D: Vacancies of Office
If any office shall become vacant the Board of Directors shall, at the earliest possible date, order a special election for the purpose of filling such office. The member, thus elected, shall immediately enter upon his duties and shall hold office until the next regular election. In the event the unexpired term is two (2) months or less, the Board may waiver a special election.
Sect. E: Duties of Officers
Sect. A: Time and Place
At least one regular meeting shall be held on the fourth (4th) Monday of the month. Location to be at 1114 South 48th St, Tacoma, WA 98408.
Sect B: Nature of Meetings
May be called by the President of the club when, after consulting with the officers, he is convinced the need is urgent.
Article V. QuorumFor any meeting of the club, a quorum shall consist of twenty (20) members in good standing.
Article VI. Amendments
Sect A: Any proposed amendments to the Constitution or By-Laws shall be submitted in writing at a regular meeting in March and September. Any proposed amendments submitted shall be publicized and will be voted on the regular meeting in April and October. There will be 2/3rd majority of all votes cast necessary for passage. A count will be taken of the eligible voting members present to assure a proper 2/3rd count.

- The President shall:
- Preside at all the meetings of the club
- Prepare a budget at the beginning of the year to be approved by the Board of Directors
- Call special meetings at his discretion
- Appoint all committees not otherwise provided for
- Make provision for the discharge pro tempore of necessary duties of absent or suspended members
- See the regulations of the club are enforced
- Carry out assignments and instruction given to him by vote of the club
- Vote only in case of a tie
- Perform such other duties as the Working Rules may specify
- The Vice-President shall:
- Be an aide to the President and, in case of the absence or disability of the President, shall pro tempore assume and perform the duties of the President.
- Be Program Chairman and be in charge of the Memorial Weekend Events.
- Perform such other duties as the Working Rules may specify.
- The Secretary shall:
- Keep a record of the proceedings of all official meetings.
- Issue notices of meetings and agenda after consultation with the President
- Make previous minutes available to all members
- Record the names of persons making and seconding motions
- Determine at each meeting if a quorum is present and record the attendance
- Conduct the correspondence of the club
- Perform such other duties as the Working Rules may specify
- The Treasurer shall:
- Collect all money due TTC, including dues, assessments, fines and receipts from benefits or whatever source.
- Render an account each month, or more often if required, of all the receipts and expenditures.
- Read and pay all bills approved by the vote of the members
- Act as the business manager for the club and, in the absence of the President and Vice-President from a meeting, shall preside until the club shall elect a temporary chairman.
- The Board of Directors shall:
- Transact all business referred to it by the club, and all business requiring attention between meetings of the club
- Have the power to authorize any expenditure it may deem necessary in the proper conduct of the club and to report such expenditure to the members at the next regular meeting. Any Expenditures approved by the Board of Directors must have the approval of five (5) board members.
- Try all members against whom charges have been referred in accordance with the Constitution and By-Laws
- Meet at least once every month and keep a correct record of its proceedings
- Count ballots. This shall be the responsibility of at least three (3) board members
- The Trustees shall:
- Inspect the books of the Secretary and Treasurer at least once every four months, reporting their findings to the club.
- Any officer absent from three (3) consecutive meetings, either regular meetings or the Meeting of the Board of Directors, will be automatically expelled from office. Automatic expulsion may be waived by a majority vote of the Board of Directors if such absence is considered to be justified.
